But how would the CEO and board not be aligned on this? Commissions are a real thing, and typically legal. It is effectively just a discount, that you have over to one of the parties. Either way, it comes out Juniper's end. The board and CEO would have identical interests here. But the CEO and the board have to preserve margins somehow, and if every middleman wants 10% of the deal, there won't be much left.
Yes, in some countries, it is expected that you can charge the client more, but give the client's decision makers a commission. However, if that was the case, there is no reason why Juniper's board would mention this, and risk a US gov't bribery investigation. Congress needs some goats to slaughter right now, so looking in shady overseas deals would be perfect.
Like maybe he recommended white wine with the steak in the boardroom? Or something really sinister... like cutting a deal with customers or screwing them over? The wording has all the weasel word hallmarks of something backhanded going on the in boardroom.
Are there hedge fund people on the board? That might explain everything.
